1. About these terms
These Terms & Conditions apply to your use of www.nexteir.com and to services provided by Nexteir Technologies Private Limited (formerly Trando), trading as NexTeir Technologies (“NexTeir”, “we”, “us”). “Client” or “you” means the person or organisation that requests or pays for our services. If we sign a separate written agreement or statement of work with you, it prevails over these terms where they conflict.

2. Our services
We provide custom software, web and mobile app development, ERP, LMS and portal development, AI and WhatsApp automation, educational animation and content creation, and Google Business Profile, SEO and AEO services. The exact scope, deliverables, timeline and price for each project are set out in a written quote, proposal or statement of work. Descriptions on the website are general information and are not an offer.
3. Quotes, proposals and changes
- A quote is valid for the period stated on it (30 days if none is stated) and becomes binding when you accept it in writing (email or WhatsApp is enough) or pay the advance.
- Work outside the agreed scope is a change request. We will tell you the effect on price and timeline before doing it.
- Timelines are estimates that depend on you giving content, feedback and approvals on time.
4. Fees and payments
- All prices are in Indian Rupees (INR) and are exclusive of GST (currently charged at the applicable rate) unless the quote says otherwise.
- Typical terms are an advance before work starts and milestone or monthly invoices after that, as set out in your quote. Invoices are payable within 7 days unless stated otherwise.
- Late payments may pause work. We may charge interest of up to 1.5% per month on overdue invoices after written notice.
- Third-party costs (for example Meta's WhatsApp conversation charges, domains, hosting, stock media, paid ad spend) are passed on at actual cost and are not included in our fees unless the quote says so.
- Cancellations and refunds are covered in our Refund & Cancellation Policy.
5. Client responsibilities
- Give us accurate information, content, access and decisions in good time.
- Make sure you have the rights to all material you give us (text, images, logos, data) and that it does not break any law or third-party rights.
- Keep your account credentials safe, and remove our access when the project ends.
- Use the deliverables lawfully. You are responsible for your own compliance (for example data protection, consumer, advertising and tax laws) in how you use them.
6. Intellectual property
Once we have received full payment, you own the custom deliverables created specifically for you (such as your website design, custom code and written content), as agreed in the quote. Until full payment, we keep ownership and you have only a limited licence to review them.
We keep ownership of our pre-existing tools, frameworks, templates, libraries, and our WhatsApp platform, and of general know-how. You get a non-exclusive licence to use them as part of the deliverables. Third-party and open-source components stay under their own licences. We may show the work we did in our portfolio, without your confidential information, unless you ask us in writing not to.
7. WhatsApp automation terms
- We set up WhatsApp automation on Meta's official WhatsApp Business Platform. You must accept and follow Meta's Business Terms, WhatsApp Business Policy and Commerce Policy.
- Meta's message charges depend on the message category and country. We pass them on at actual cost with no mark-up.
- Opt-in is mandatory. You may send business-initiated messages only to people who have agreed to receive them. We will help you set up compliant opt-in and opt-out, but you are responsible for the contacts and content you send.
- No spam. You must not use the service for unsolicited bulk messages, misleading, unlawful or prohibited content, or to send sensitive personal data such as health or financial details in message text.
- Meta controls account approval, business verification (the green tick), quality ratings, messaging limits and suspensions. We cannot promise approval or particular limits, and we are not liable for decisions or outages by Meta.
- We may suspend the service if it is being used in breach of these rules or of Meta's policies.
8. SEO, Google Business Profile and AEO services
- No ranking guarantees. Search engines and AI assistants (such as Google, ChatGPT, Gemini and Perplexity) decide rankings, map positions and answers using their own, changing systems. We do not guarantee any position, traffic, leads, reviews or mentions.
- We commit to the deliverables listed in your plan (for example audit, profile setup, on-page fixes, citations, reports), carried out with reasonable skill and care.
- We use only methods that comply with Google's and other platforms' guidelines. We do not buy fake reviews or use link schemes, and we will not do so at your request.
- You remain the owner of your Google Business Profile, Search Console, analytics and website accounts. Profile verification and reinstatement decisions are made by Google.
- Results usually take weeks to months. Monthly plans have no lock-in unless your quote says otherwise.
9. Free audits
A free audit is a limited review of your website or Google Business Profile, based on publicly visible information. It is provided for information only, with no obligation on either side, and does not promise any result.
10. Confidentiality
Each party will keep the other's non-public business, technical and customer information confidential, use it only for the project, and not disclose it except to people who need it and are bound by confidentiality, or as required by law. This does not apply to information that is public, already known to the receiver, or independently developed. These duties continue for three years after the project ends. We are happy to sign a separate NDA on request.
11. Warranties and limits of liability
We will perform services with reasonable skill and care. We will fix defects in agreed deliverables that you report in writing within 30 days of delivery, free of charge, if they do not match the agreed specification. Apart from this, the services and the website are provided “as is”, and we give no other warranties to the extent the law allows.
To the extent permitted by law, we are not liable for indirect or consequential loss, loss of profit, revenue, data or goodwill, or for losses caused by third-party platforms (Meta, Google, hosting or payment providers) or by your content. Our total liability for any claim is limited to the fees you paid us for the specific service in the three months before the claim arose. Nothing in these terms limits liability that cannot be limited by law, such as for fraud.
12. Termination
- You may end a project or monthly plan by written notice, as set out in the Refund & Cancellation Policy.
- Either party may end the agreement by written notice if the other materially breaches it and does not fix the breach within 14 days of notice.
- We may suspend or end services immediately if you use them unlawfully or in breach of platform rules (including WhatsApp's).
- On termination you pay for work done and costs incurred up to that date. Confidentiality, intellectual property, payment and liability terms continue after termination.
13. Using this website
You may browse the site for lawful purposes. Do not attempt to break its security, scrape it in a way that harms it, or submit false or unlawful content through our forms. The text, design and code of the site belong to us or our licensors and may not be copied without permission. Our Privacy Policy explains how we handle personal data.
14. Governing law and disputes
These terms are governed by the laws of India. We will first try to resolve any dispute in good faith by discussion. If that fails, the courts at Dehradun, Uttarakhand have exclusive jurisdiction.
15. General and changes
If any part of these terms is found unenforceable, the rest continues. Neither party is liable for delay caused by events beyond its reasonable control. You may not transfer your rights without our written consent. We may update these terms and will post the new version here with a new date. Changes do not affect projects already agreed unless you accept them.
